Your company name is like your business identity. Sometimes you need to change it - maybe your business changed, you rebranded, or you want a more professional name. The process has multiple government forms and approvals involved.
First, we check if your new name is available with the government. Then we get shareholder approval by passing a special resolution. Then we file the forms INC-24 with ROC. The whole thing takes 10-15 days. During this time your old name is still valid legally.
If you use the new name on invoices, letterheads, or contracts before ROC approves it, you face legal consequences under the Companies Act, 2013. Per Section 12(3), a company must use only its registered name on all official documents. Using an unapproved name can attract penalties under Section 12(8) — up to Rs 1,000 per day of violation for the company, and up to Rs 5 lakh for officers in default. ROC can also reject your pending name change application if they find premature use. You must wait for the official approval and updated Incorporation Certificate before using the new name anywhere.

Not any name. Government has naming rules. The name must not copy another company's name, not be offensive, and not mislead the public. Names with words like Bank, Insurance, or University need special government approval.

PAN and GST numbers stay the same. You do not get new numbers. But you must update the name on your PAN certificate and GST registration. This takes an extra 1-2 weeks after ROC approval.
There is no legal limit. But practically, frequent name changes confuse clients and vendors. Each change costs money and takes 2 weeks. Better to choose the right name the first time.
